Section 184 (1) of the Companies Act 2013 requires that every director make disclosure of his interest or concern in any company or firm or body corporate or any association of individuals at the first Board meeting or when there is any change in the interest of Directors.

The Chairperson informed the Board that, as per section 184 of the Companies Act, 2013, it is necessary to disclose the contracts/arrangements in which the Directors are interested.  As per section 184 of Companies Act, 2013 read with chapter XII (Meeting of Board and its Powers) Rules 2013 register of contracts in which particulars specified in the said rules shall be entered and Form MBP-1 in which every Director is interested has to be furnished.

As per section 189 of the Companies Act, 2013, the details of such contracts are to be entered in the Register and signed by all the Directors present at the Meeting. Accordingly, the Register was placed before the Board and the same was noted and signed. After discussion, the following resolutions were passed:

“RESOLVED THAT the disclosures of interest and shareholding received in Form MBP-1 from all Directors of the Company pursuant to Section 184(1) of the Companies Act, 2013 and Rule 9(1) of the Companies (Meeting and Powers of Board) Rules, 2014 read at the meeting be noted”.

“RESOLVED FURTHER THAT the Register of Contracts in Form MBP-4, as required under Section 188 (1) and rule 16(1) of the Companies (Meeting and Powers of Board) Rules, 2014 companies and firms in which Directors are interested as hereby placed before this meeting be and is hereby noted and the signatures of all the Directors present thereat be and hereby obtained on the Register.”
